These Affiliate Terms of Service (“TOS”) outline the terms and conditions governing your participation in the affiliate program (“Program”) offered by Company Name. By participating in the Program, you (“Affiliate”) agree to comply with these TOS.

Affiliate Relationship: Affiliate agrees to promote Company’s products or services as an independent contractor, and not as an employee, agent, or partner of Company. Affiliate has no authority to bind Company or represent Company in any manner.

Eligibility: Affiliate must be at least 18 years old and legally capable of entering into a binding agreement. Company reserves the right to accept or reject any affiliate application at its sole discretion.

Promotion: Affiliate shall promote Company’s products or services in accordance with the guidelines provided by Company, which may include but are not limited to using unique affiliate links, promotional materials, and complying with applicable laws and regulations. Affiliate shall not engage in any misleading, false, or unethical promotion methods.

Commission: Affiliate may earn a commission for each valid referral that results in a qualifying purchase made through Affiliate’s unique affiliate link. The commission rate and payment terms shall be determined by Company and may be subject to change.

Tracking and Reporting: Company shall provide Affiliate with access to tracking and reporting tools to monitor Affiliate’s referral activity and commissions. However, Company’s tracking and reporting shall be the sole and definitive method for determining the commissions earned by Affiliate.

Payment: Commissions earned by Affiliate shall be paid by Company according to the payment terms specified in the Program. Affiliate shall be responsible for providing accurate and up-to-date payment information to Company.

Intellectual Property: Affiliate acknowledges that all copyrights, trademarks, trade secrets, and other intellectual property rights associated with Company’s products or services are owned by Company. Affiliate shall not use Company’s intellectual property without prior written consent from Company.

Confidentiality: Affiliate shall keep any confidential information received from Company, including but not limited to sales data, customer information, and marketing strategies, confidential and shall not disclose or use such information for any purpose other than promoting Company’s products or services.

Term and Termination: These TOS shall commence upon Affiliate’s acceptance into the Program and shall continue until terminated by either party. Company may terminate Affiliate’s participation in the Program at any time for any reason without notice. Affiliate may also terminate these TOS by providing written notice to Company.

Modifications: Company reserves the right to modify or update these TOS at any time, and such changes shall be effective upon posting on Company’s website or providing notice to Affiliate. Affiliate’s continued participation in the Program after such changes constitutes acceptance of the modified TOS.

Limitation of Liability: Company shall not be liable for any indirect, special, incidental, or consequential damages arising from Affiliate’s participation in the Program, including but not limited to lost profits, loss of data, or loss of business opportunities.

Governing Law and Jurisdiction: These TOS shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising out of or in connection with these TOS shall be resolved by the courts of [Jurisdiction] to the exclusion of any other jurisdiction.

Entire Agreement: These TOS constitute the entire agreement between Affiliate and Company with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, understandings, and representations, whether oral or written.

Severability: If any provision of these TOS is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

By participating in the Program, Affiliate acknowledges that Affiliate has read, understood, and agrees to be.
